Terms of Service

Effective Date: February 5, 2026

These Terms of Service (“Terms”) govern the access and use of the TensylAI orchestration platform, the Forge Canvas, and associated AI services (the “Services”) provided by TensylAI (“Company,” “we,” or “us”). By using the Services, you agree to these Terms.

1. Nature of Services

TensylAI provides a unified orchestration layer designed to facilitate AI adoption and workflow optimization. Our Services sit above third-party Large Language Models (LLMs). You acknowledge that:

  • Orchestration: TensylAI manages the “Last Mile” of AI adoption through nudges, scoring, and agent orchestration.
  • Third-Party Providers: Your use of third-party models (e.g., OpenAI, Anthropic) via TensylAI is subject to the respective terms of those providers.

2. Intellectual Property & Ownership

  • TensylAI Property: We retain all rights, titles, and interests in the “Base Technology,” including the Forge environment, Workflow Scoring engines, proprietary algorithms, and any “Nudge” logic.
  • Client Data: You retain all ownership of data, prompts, and proprietary business information inputted into the Services (“Client Data”).
  • Workflow Configurations: Configurations or “wrappers” created within the Canvas specifically for your legacy systems are licensed to you for use during the term of your engagement.

3. Fees and Payment

  • Hybrid Pricing: Use of the Services is subject to the fees outlined in your specific Order Form or Statement of Work. Our pricing model includes a “Canvas Platform Fee” and variable “Intelligence Units” (WAUs).
  • Outcome-Based Engagements: Certain enterprise engagements may include “Optimization Milestones” or “Performance Fees” based on validated efficiency gains, as defined in a private Statement of Work.
  • Late Payments: Failure to make timely payments may result in the suspension of Service access.

4. Acceptable Use & Governance

  • Prohibited Use: You may not use TensylAI to develop a competing orchestration platform or to circumvent the safety filters of underlying LLMs.
  • Shadow AI Mitigation: You agree to use the Services as the primary gateway for corporate AI usage to mitigate data breach risks associated with “Shadow AI.”

5. Confidentiality & Data Security

  • Data Protection: We maintain industry-standard administrative and technical safeguards. Please refer to our Data Processing Addendum (DPA) for details on GDPR/CCPA compliance.
  • Confidentiality: Both parties agree to protect the other’s non-public information with the same degree of care used for their own.

6. Limitation of Liability

  • Cap on Damages: To the maximum extent permitted by law, TensylAI’s total liability for any claim arising out of these Terms shall not exceed the amount paid by you to TensylAI in the twelve (12) months preceding the event.
  • AI Outputs: Because AI outputs are probabilistic, TensylAI is not liable for errors in code or content generated by underlying models. A “Human-in-the-Loop” (HITL) process is always recommended.

7. Term and Termination

  • Termination: Either party may terminate the Services in accordance with the notice period defined in your Order Form (Standard: 90 days).
  • Survival: Provisions regarding IP ownership, confidentiality, and liability caps shall survive termination.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
